Scope of Work

1. KEY OBJECTIVES

• Support the Head of Legal in reviewing agreements/contracts and in negotiations

related to the Company’s business activities.

• Support the Head of Legal on broad range of matters including petroleum

agreements, project agreements, regulatory governance, corporate secretarial,

procurement issues, external relation matters where necessary.

• Provide legal risk assessment and impact of business decisions particular in relation

to the Production Sharing Contracts (PSCs), Joint Operating Agreements (JOA) and

other upstream related agreements.

• Ensure that all agreements and contracts entered into by PTTEP are negotiated and

concluded on the most favorable terms for the Company.

• Provide legal advice on dispute, litigation, and arbitration of the Company.

• Analyze and advise on applicable laws, regulations, and regulatory developments

including in relevant States impacting the Company’s business

• Oversee and manage external legal counsel as required.


2. PRINCIPAL ACCOUNTABILITIES

• To ensure PTTEP’s interests are protected in legal negotiations and in contracts.

• To ensure the Management Team is fully briefed on the legal implications of the

terms of the agreements.


3. KEY AUTHORITIES

• Responsible for the review of PSC’s, JOAs, contracts/agreements entered into by PTTEP.

• Responsible for presentations and communications with Petronas and partners where necessary.


4. WORKING RELATIONSHIP

Internal

• All internal stakeholders.

• Corporate Legal Group, Bangkok.

• Corporate Secretary Group, Bangkok.


External

Working with:

• Petroliam Nasional Berhad (“Petronas”), Petronas Carigali Sdn Bhd, Malaysia LNG

Sdn Bhd, other subsidiaries and affiliates of Petronas, where relevant and other Production Sharing Contractors.

• Other potential customers, contractors and partners.

• External legal firms.

• Company Secretary.

• Other relevant parties, where necessary.


5. QUALIFICATIONS AND EXPERIENCE

• Minimum 10 years experience (post admission to the Malaysian Bar).

• Minimum 8 years experience in oil and gas.

• Must be analytical and able to work independently.

• A team player, possess communications and leadership skills.

• Possess good negotiation skills.

• Fluent in oral & written English.

• Experienced in oil and gas industry.

• Familiar with the Malaysian upstream oil & gas industry including PSC, JOA, and project agreements.

• Proven teamwork, communications, and leadership skills.
