Key Function
To ensure the company operates within the law and meets current compliance requirements. The Legal and Compliance Manager will provide strategic legal advice, manage legal risks, and oversee regulatory compliance to safeguard the company’s integrity and reputation.
Job Responsibilities
Legal Advisory & Risk Management
• Provide legal advice on corporate, contractual, regulatory, employment, and other legal matters.
• Draft, review, and negotiate contracts, agreements, and other legal documents.
• Identify legal risks and recommend risk mitigation strategies.
• Manage and coordinate with external legal counsel when necessary.
Regulatory Compliance
• Ensure compliance with applicable laws, regulations, and standards.
• Monitor and interpret changes in relevant legislation and assess their impact on the company.
• Develop and implement internal policies and procedures to comply with legal and regulatory requirements.
• Liaise with regulatory bodies and authorities as required.
Corporate Governance
• Support the company’s governance framework including board and committee support.
• Assist in the preparation of board papers and resolutions.
• Ensure proper maintenance of statutory records and filings.
Internal Controls & Audits
• Conduct internal compliance audits and investigations.
• Implement corrective action plans based on audit findings or regulatory requirements.
• Develop training programs to promote awareness and understanding of legal and compliance issues.
Dispute Resolution
• Manage and resolve legal disputes and litigation cases.
• Represent the company in legal proceedings where appropriate.
Undertake any other ad-hoc projects and tasks as assigned by the management.
• Enforce adherence to legal regulations and internal policies to uphold company standards and ethics.
• Ensure compliance with Health, Safety, and Environment (HSE) requirements across administrative functions.
Qualification & Experience
• Bachelor’s Degree in Law (LLB); Master's or professional certification is a
plus.
• Licensed to practice law (if applicable to jurisdiction).
• Minimum 5–8 years of legal and compliance experience, preferably within a corporate or regulatory environment.
• Familiarity with laws and regulations related to Oil & Gas and Construction industry.
Skills Factor
• Proficient in Microsoft Office Suite (Word, Excel, PowerPoint).
• Proficiency in reading and writing Mandarin
• Strong knowledge of corporate law, contract law, and regulatory compliance.
• Excellent analytical, drafting, and negotiation skills.
• High attention to detail and strong organizational skills.
• Ability to manage multiple priorities and work under pressure.
• Strong interpersonal and communication skills.
